By creating an account or using Futureex.ai ("we", "us", "our", "Platform", "Service"), you agree to these Terms and Conditions. If you don't agree, please don't use our services.

These terms constitute a legal agreement between you and Futureex.ai. Make sure you read them carefully.

2. Our Services

Futureex.ai is an AI-powered business automation platform designed for small and medium businesses, Kirana stores, creators, and entrepreneurs. We provide:

• Online store creation and management
• WhatsApp and Instagram commerce integration
• Inventory and order management
• Payment processing through integrated gateways
• AI-powered business automation tools
• Analytics, reporting, and insights
• Customer relationship management features

We continually improve and update our services. Features may change, and we may add or remove functionality with notice.

3. User Accounts

3.1 Account Registration

To use our platform, you need to create an account. You agree to:

• Provide accurate and complete information
• Keep your information up-to-date
• Maintain the confidentiality of your password
• Not share your account with others
• Notify us immediately of unauthorized access
• Be responsible for all activity under your account

3.2 Account Eligibility

To create an account, you must:

• Be at least 18 years old
• Have the legal authority to enter into this agreement
• Not be prohibited from using our services under applicable laws
• Operate a legitimate business

4.1 Subscription Fees

Subscription fees are charged monthly or annually in advance, depending on your chosen billing cycle. All fees are:

• Non-refundable except as stated in our Refund Policy
• Exclusive of applicable taxes (GST, etc.)
• Subject to change with 30 days notice

4.2 Transaction Fees

We charge a transaction fee on orders processed through the platform:

• Starter Plan: 8% per order
• Growth Plan: 5% per order
• Premium Plan: 3% per order
• Enterprise Plan: 1-2% (negotiable based on volume)

Transaction fees are automatically deducted from order proceeds before settlement.

4.3 Payment Methods

We accept:

• UPI (Google Pay, PhonePe, Paytm, etc.)
• Credit and debit cards (Visa, Mastercard, RuPay, Amex)
• Net banking
• Digital wallets

Payments are processed securely by our partners Razorpay and Stripe. We don't store your payment card details.

4.4 Failed Payments

If a payment fails:

• We'll notify you by email
• You have 7 days to update payment information
• Your account may be downgraded or suspended after 7 days
• Transaction fees and outstanding dues must be settled before reactivation

5. Your Responsibilities

5.1 Acceptable Use

You agree to use our platform lawfully and responsibly. You will NOT:

• Use the service for illegal activities or prohibited goods/services
• Violate any laws, regulations, or third-party rights
• Sell counterfeit, stolen, or prohibited products
• Engage in fraudulent transactions or money laundering
• Spam, phish, or deceive customers
• Upload malware, viruses, or harmful code
• Attempt unauthorized access to our systems
• Scrape or harvest data from the platform
• Reverse engineer or copy our software
• Impersonate others or create fake accounts

5.2 Content Responsibility

You're responsible for:

• All content you upload (product images, descriptions, prices)
• Ensuring content doesn't infringe copyrights or trademarks
• Compliance with product labeling and advertising laws
• Accuracy of product information and pricing
• Customer service and dispute resolution

5.3 Customer Data

You must:

• Obtain necessary consents to collect customer data
• Comply with data protection laws (GDPR, DPDPA, etc.)
• Use customer data only for legitimate business purposes
• Protect customer data from unauthorized access

6. Intellectual Property Rights

6.1 Our Property

Futureex.ai and all its features, software, designs, logos, and content are owned by us and protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or create derivative works
• Reverse engineer or decompile our software
• Remove copyright or proprietary notices
• Use our trademarks without permission

6.2 Your Content

You retain ownership of content you upload. By using our service, you grant us a limited license to:

• Store, display, and process your content
• Use your content to provide the service
• Create backups for reliability

This license ends when you delete content or close your account, except for backups and cached copies.

If you provide feedback or suggestions, we can use them without obligation or compensation to you.

7. Third-Party Services

Our platform integrates with third-party services:

• Meta (WhatsApp, Instagram, Facebook)
• Google (OAuth, Maps, Analytics)
• Razorpay and Stripe (Payment processing)
• SendGrid and Twilio (Communications)

Your use of these services is governed by their respective terms. We're not responsible for their actions, policies, or service interruptions.

8. Service Availability

We strive for 99.9% uptime, but we don't guarantee uninterrupted service. We may:

• Perform scheduled maintenance (with advance notice)
• Make emergency updates or fixes
• Experience unexpected outages

We'll notify you of scheduled maintenance at least 24 hours in advance via email or dashboard notification.

9. Termination

9.1 By You

You can cancel your subscription anytime through your account settings. Cancellation takes effect at the end of your billing period. See our Refund Policy for details.

9.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay fees owed
• Create security or legal risks

We'll provide notice before termination unless immediate action is required for legal or security reasons.

9.3 Effect of Termination

Upon termination:

• Your access to the platform ends immediately
• You have 30 days to export your data
• After 30 days, we may permanently delete your data
• You remain liable for fees owed
• Provisions regarding liability, indemnification, and dispute resolution survive

10. Disclaimers and Limitations of Liability

10.1 Service "As Is"

Our service is provided "as is" without warranties of any kind, express or implied. We don't guarantee that the service will be error-free, secure, or always available.

10.2 Limitation of Liability

To the maximum extent permitted by law, Futureex.ai is not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data loss
• Actions of third-party services
• Your violation of laws or third-party rights

Our total liability for any claim is limited to the fees you paid in the 12 months before the claim.

10.3 Indemnification

You agree to indemnify and hold us harmless from claims arising from:

• Your use of the service
• Your content or products
• Your violation of these Terms
• Your violation of any laws or third-party rights

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of courts in [Your City], India.

13.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

13.3 No Waiver

Our failure to enforce any right doesn't constitute a waiver of that right.

13.4 Assignment

You may not transfer your rights under these Terms. We may assign our rights to an affiliate or successor.
